1. Acceptance of Terms

By accessing or using Delegir ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Delegir is operated by Delegir LLC ("we", "us", "our").

2. Description of Service

Delegir provides a platform for creating and deploying AI-powered agents for business tasks including marketing, sales, customer service, and operations. Agents generate content and perform actions based on your configuration and instructions.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials, including API keys. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use Delegir to generate content that is illegal, harmful, deceptive, or violates the rights of others. You must not use AI agents to impersonate individuals, generate spam, create misleading content, or engage in any activity that violates applicable laws. We reserve the right to suspend accounts that violate these terms.

5. AI-Generated Content

Content generated by Delegir AI agents is provided as-is. You are responsible for reviewing and approving all agent outputs before they are published, sent, or shared with third parties. We recommend using Draft Mode (enabled by default) to review outputs before they take effect. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

6. Subscription & Billing

Delegir offers free and paid subscription plans. Paid plans are billed monthly or annually. You may cancel your subscription at any time. Usage limits are enforced according to your plan tier. Exceeding your plan limits may result in temporary service restrictions until the next billing cycle.

7. Intellectual Property

You retain ownership of all content you provide to Delegir and all content generated by your agents. Delegir retains ownership of the platform, software, and underlying technology. You may not reverse-engineer, decompile, or create derivative works of the Delegir platform.

8. Limitation of Liability

Delegir is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability is limited to the amount you paid us in the 12 months preceding the claim. This limitation applies to the fullest extent permitted by applicable law.

9. Termination

We may suspend or terminate your account if you violate these terms. You may close your account at any time. Upon termination, your data will be deleted in accordance with our Privacy Policy. We will make reasonable efforts to provide notice before termination, except in cases of severe violations.

10. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.

11. Governing Law

These Terms of Service and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict-of-law provisions.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Salt Lake City, Utah. You agree to waive your right to participate in class action lawsuits or class-wide arbitration against Delegir LLC.

13. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these terms shall remain in full force and effect.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Delegir LLC regarding your use of the Service. These terms supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter herein.
